transfer of shares by retiring Director

If a director wants to transfer his shares(qualification shares) by resigning his post,then wht will be the price of that shares. Face Value or market value?

I understand that wherever there is a qualification shares, it has to be transfered in case of resignation by the director. The pricing would be as decided by the board.
