As per section 287(2) of the Companies Act, 1956, the quorum for Board meeting shall be 1/3rd of the its total strength or 2 directors whichever is higher. (Any fraction shall be rounded of as one)
Please note that Section 287 provides for a minimum quorum. A company in its Articles can fix higher quorum.
The expression total strength means the actual number of directors for the time being occupying the office (excluding alternate directors, if any) after deducting therefrom the no. of directors whose place may be vacant at that time. However, the alternate director present at ameeting will be counted for quorum.
