DCF valuation and certificate of CA is must for valuation of shares where foreign exchange is involved. It apply on both public and private if they are not listed, if the company is eligible to raise foreign funds.

Dear Mr.Ajay Mishra, Thank you for your valuable opinion. I understand that CA certificate is required for any issue of the securities. However Subscribers to moa undertakes to subscribe for the shares mentioned in MOA against their name at face value only. In such a situation there is no question of premium or discount for alloment of shares as per MOA to subscribers to MOA. Hence whether allotment of shares as per moa to the subscribers , still requires DCF valuation.
