Is the Share Capital Audit mandatory for a listed company? If yes, Which clause says so?

Pursuant to SEBI Circular D&CC/FITTC/CIR-16/2002 dated 31st Dec, 2002 & CIR/MRD/DP/30/2010 dated 6th Sept, 2010,share capital audit is mandatory.
