06 July 2012 In a pvt ltd co there are 2 directors and both of them of them are the only shareholders of the Co. One amongst them is a M.D. Is other director liable to retire by rotation?

06 July 2012 In case of a private company which is not a subsidiary of a public company, it is not compulsory under the law that they must have rotational directors unless the Articles of Association of the company so requires (Section 255(2))

No need to retire other director, rotational provisions is not apply to private limited company.
