Here’s a draft letter your client’s brother can send to ROC explaining the situation:
To The Registrar of Companies [Address of the ROC Office] Date: [Insert Date]
Subject: Explanation regarding non-filing of ROC returns and Director details of [Company Name] (CIN: [Company Identification Number])
Respected Sir/Madam,
I, [Name of the brother], brother of late [Name of deceased Director], would like to bring to your kind attention that the company [Company Name], CIN [CIN], has not filed its statutory returns for the last two years as per your notice dated [Date of Notice].
However, I wish to inform you that the person who received this notice, late [Name of deceased Director], expired in the year 2006. Since then, I and other members of the family have been unaware of the company’s ongoing compliance status.
Further, as per the MCA portal, the company is shown as ‘Active’ but no directors or authorized signatories are appearing on the records.
In view of the above, kindly advise the next steps to update the company records and regularize the filings. I request your guidance regarding appointing new directors and signing authorities to bring the company into compliance.
Please consider this letter as an intimation of the current status and request for necessary directions.
Thanking you,
Yours sincerely, [Name of the Brother] [Address] [Contact Number] [Email ID]
