Does a co. to comply with sec.31, i.e Right of pre-emption when a co.is issuing shares having differential voting rights? If no whynot?

I think u r talking about section 81.
Even if a co. issued sahres having differential voting rights it has to comply with section 81.
If co. is not interested in allotment to existing shareholders then before allotment in others favour special resolution of shareholders under section 81(1A) is mandatory.
