27 April 2012 Hi, Can any one guide me in this regard, that in agm except 4 business we have all special business but in a special business what kind of resolution are required to pass , I came to know that both can be i.e. ordinary and a special but how can we make it sure thist agenda requires special or ordinary resolution and suppose if we are passing a special reso. then it requires a registration through form 23. please clarify these.

In AGM, 4 Ordinary business is required to be deal in AGM and this will only deal on AGM and not on general meeting.

Yes, you can pass special business on AGM by ordinary resolution or through special resolution and it will be required to mentioned in special business that it is ordinary resolution or special resolution going to be passed by members of the company. so you can pass the both under special business.
