09 November 2011 “RESOLVED THAT subject to the provisions of the Depositories Act, 1996 and the applicable provisions, if any, of Companies Act, 1956, approval be and is hereby granted for making application to National Securities Depository Limited (NSDL), / Central Depository Services (I) Limited (CDSL) to admit the securities/ shares of Company as being eligible for being admitted on the depository system and do offer the Shareholders/ investors of the Company the choice/ option to hold the Shares of the Company in dematerialised form and trading in dematerialised form by opting to join NSDL/ CDSL.”

“FURTHER RESOLVED that Alankit Assignments Limited, New Delhi be and is hereby appointed as Registrar & Share Transfer Agent for transfer and Dematerialisation of securities of the company with NSDL/ CDSL.”

“RESOLVED FURTHER THAT any Director or Company Secretary of the Company be and is hereby authorised to sign/ execute the tripartite agreement to be entered into between National Securities Depository Limited/ Central Depository Services (I) Limited, the Company and Alankit Assignments Limited, Registrar and Share Transfer Agent, in pursuance of Regulation 29 (3) and 53 of the Securities and Exchange Board of India (Depositories and Participants) Regulations, 1996” and to do all such acts, deeds, matters and things as may be necessary for implementation of the aforesaid resolution and also the transfer of shares to NSDL/ CDSL and vice-versa for the purpose of Dematerialisation/ rematerialisation of shares.”
