Our company's MD going to resign. Plz clarify the procedure in relation to resignation of MD?

28 January 2017 * MD to send resignation letter to company.
* Company should acknowledge the letter.
* Company to convene board of directors meeting.
* Pass resolution to accept the resignation.
* MD to e-file form DIR-11
* Company should e-file form DIR-12.

As the MD has resign before the tenure of 5 year. So pls clarify is it manadatory to appoint any WTD or additional director in place of MD
