P, the first Auditor of XYZ Ltd. resigned as Auditors of the Co. Board of Directors appointed Mr. Q as statuary auditors in their place . Comment

Hi,
In your case appointment of new auditor by board is not valid.
As per section 224(6) in case of vacancy caused by resignation of statutory auditor can only be filled by the members in the general meeting.
In case of first auditor also section 224(6) is applicable.
