I think, in Companies Act, the provisions of proxy will not apply for Board Meeting and for this purpose, the Act introduce the provisions of appointment of alternate director in place of original director.

The provisions of section 176 of the Companies Act, 1956 deal with proxies for general meting and not for Board Meeting.
