XYZ Inc, a foreign company is a member in ABC Ltd. ABC Ltd says it cannot accept a proxy for XYZ.. Is it correct??

If its public ltd co and listed then they cannot deny it.
in case of private co then their articles and memo shall decide it.
in case of private co then their articles and memo shall decide it.
