Procedure of transfer of shares bwt companies

23 January 2013 Company A (public company) holding 8% shares in Company B (Public company). Now company A want to transfer the shares to its parent company which is also a public company. Pls tell me the procedure for transfer....

In that take approval of Board for all transfer.

1. Company A will pass board resolution for sale of shares.
2. Parent company will pass BR for making investment in B company and made an agreement of share purchase with company A.

Following documents is required:

1. MOA
2. Copy of PAN
3. Board Resolution
4. List of Directors
5. Shareholding of Company
6. List of Directors/Authorised Signatory
