I am in need of some details for conducting an EGM for increase of Paid up Capital.
a) Notice of EGM
b) Minutes before notice
c) procedure for conducting EGm
d) proceedings after conducting

I believe the resolution required is 81(1A)
a) Notice of EGM: will remain same for listed or unlisted company.
b) Minutes before notice: No such minutes rquired. Only Board Meeting Minutes required.
c) Procedure for conducting EGM: to be conducted as any other members meeting.
d) proceedings after EGM: Have a Board Meeting for allotment of shares. Allot the shares and file Form 2 with ROC
