1.The involvement and legal implications for an NRI later on becoming US citizen and to continue as one of directors in private company ?

2.Can he be an active director?

Yes, you can appoint a NRI as a director or shareholders of a company. For this you shall take DIN of such NRI and appoint the same with company and File Form-32 with ROC.
