Passing of resolution by circualtion u/s 289 of companies act,1956 is not compulsory requiremnet. however whr the resolution is not compulsory require to pass in Board meeting than that can be passed by circullar...
this section is only a alternative mode for passing resolution....and not require to comply compulsorily.
