Late filing of roc forms

20 December 2015 If I am filing ROC forms of F.Y. 13-14 during December 2015, which forms will be applicable for Filing of Annual Returns and Financial Statements ( I.e. 20B, 23AC, 23ACA or MGT-7 and AOC-4) and for particulars relating to Resignation pertaining to F.Y. 13-14 is any form required to b filed if the same is not filed till DEC 2015, and last point is
Does Appointment of Auditor and Resignation of Auditor attract Special Resolution if conducted in EGM?

20 December 2015 Annual Returns of previous years, forms of that year only shall do. Current forms wont be eligible for previous years' returns. Old forms are available on mca.gov.in.

21 December 2015 If auditor resigned, it is a casual vacancy and appointment should by made by BOD and approved in EGM per 139(8) which is to be considered as special business and to be passed as ordinary resolution.
