I would Like to know what is the procedure for issuing shares of a Pvt. Ltd. Co. in DMat form. (the Company is under Registration)
How to Register Co. with Depository?
What is the approximate expensiture for all the process?
is dematerialisation beneficial for a small Pvt. Co.?

First of all you register the company with concern ROC then Triepart agreement will be executed between Company, RTA and CDSL/NSDL.
