suppose a new company is taking some services regarding website & software and the bills are raised including service tax and the company doesn't want to pay service tax and want to take shares it is possible

Actual applicability of service tax you cannot avoid. since you have told new company,. please check the basic exemption limit of Rs. 10 Lakhs accordingly you can take exemption
