i wanted to know whether auditor of that company is only the person who can sign form 32 of private limited or any CS can do that if CS not being appointed by the company. please clarify

e-Form 32 has to be digitally signed at two places viz., "verification" part and "certification" part.
Verification can be done by managing director or director or manager or company secretaty of the company.
Certification can be done by a CA in whole time practise or an ICWA in whole time practice or a CS in whole time practise.

For certification of E-forms sign of an independent CA/CS/CWA only allowed.
Auditor of company or any other company official can not certify form 32.

ankur sir as you said only independent ca/cs/cwa has to certify can you please mention the section which say so and i have assumed independent ca means other than who is appointed as auditor of private limited company
