09 March 2015 In my pvt. ltd. company Board meeting was held for approving and recommending for members approval (both Special Business) the following-

1) Issue of shares on private placement basis.
2) Issue of ESOP

Do I need to file MGT-14 twice? i.e. after Board meeting and after General Meeting also? Please clarify at the earliest.

09 March 2015 I think you only need to file the resolutions which you have passed in general meeting as the resolutions taken up in board meetings is subject to approval of shareholders so it is actually taken on record when the members approve the same.
