plz tell me about procedur of intimation to ROC and fill casual vacancey in a private limited company in the event of death of director in natural situation.
in this company BOD number above two.

07 April 2010 In the Board Meeting take note of death of director and appointment of a person in casual vacancy.

File a single Form No. 32 in which the death of the Director as well as appointment of the person in casual vacancy is informed to the ROC.

Appointment of director to fill casual vacancy

RESOLVED THAT pursuant to the provisions of Section 262 of the Companies Act, 1956 and Article No.______ of the Articles of Association of the Company, the casual vacancy in the office of director caused by the death of Mr. Rahul jain be filled by the appointment of Mr. Harshit Aggarwal who shall hold office upto the date Mr. Rahul Jain would have held office had it not been vacated.
