12 February 2013 A private limited company wants to issue convertible warrants - MOA does not mention anything about it can you please suggest the wording to be inserted as new clause for issue of convertible warrants.

The provisions, of section 81 of the Companies Act, 1956 is not applicable to private limited company and it will be govern by its articles.

If the articles of the company does not have this clause then need to be inserted before issuing convertible warrants.
