21 November 2012 Can anyone provide me all the procedure step by step (LATEST) to convert a private Ltd Co into public ltd.
1. Each step for ROC procedure, Form to be filed etc, Each Attachments to be filed.
2. Format of Each Attachment.
3. Is Statement in lieu of prospectus required to be issued? If yes, what is procedure to fix the issue price and premium amt of each share? Pls guide to to fill Statement in lieu of prospectus.
4. All the directors in ROC are shown as regular directors . Is it required to change the desgination of a particular director to Managing Director , whole time director ?

21 November 2012 Further my client's authorized and paid up capital is Rs. 1 cr.
i.e. it has already issued all the shares.

Still is it required to file Statement in lieu of Prospectus in Form 62 ?

Yes, it is required to be filed under section 44(2) of the Companies Act, 1956 because it is mandatory part of name change.
