Compliances for foreign citizen

Sir, MR.X is a person having an Australian nationality ( he was born in India , and is of Indian origin).he wants to set up a company in Singapore. I want to know whether he is liable to do any formalities in India in the context of companies act 1956.
2.
there is another doubt that since the person is of indian origin wether and controls the company in singapore it will be deemed as foreign company and have to file return with ROC delhi
please guide me

1. Unless there is branch/liaison office or any activity in india, till then there is no formality in India.
2. No requirement if the person doesn't stay in India.
