16 January 2014 In case of a Private Company, can the articles of the company state that common seal to be affixed on any loan document in the presence of any person authorised by the Board by way of a board resolution. Is the presence of one director necessary?

But regulation 84(2) of Table A and SS-8 of ICSI is recommended.
