If a pvt ltd company issues shares to its existing members who are also the directors then should it be considered while writing the 18th clause of CARO?

The statutory auditor is expected to comment the said matter in clause 4(xviii)of CARO,2003. Pl also note that 'preferential allottement' is not defined in Comopanies Act,1956.
