Can anybody explain me the Difference between Section 139(1) and Section 139(2) of the Companies Act, 2013 ??

In Section 139(1), what shall be the interpretation of "EVERY COMPANY SHALL AT THE FIRST AGM" be ?

will it mean first AGM after the commencement of the Act or the actual first AGM ?

and what shall be the done if a Company appointed a firm in the year 2008-09. will the same auditor be eligible for appointment in the Company. IF yes, then please explain the tenure ?

I need more assistance on TDS. My basic salary is Rs.19,450/-, project allowance is Rs.15000/- .I am working at cochin office. I would like to know how much will be my tax deduction. I'm eligible for the allowance only when I'm in Bihar(for project) and Ill not be here for a complete year. I would like to know on what basis my tax will be calculated and from which month.

I completed 1.5 years of my articles.During 1st year of articleship i tried for transfer but my princial not signed..i continued till now but now i cant work with them.my firm dont have relevant work.past 1.5 year i dint learn anything.and even they are not giving valu to my work and they are torchuring by taking originals from students.So many in my firm are working unwillingly..we are going to give complaint against firm.
