Memorandum and articles, are they necessary for every company? Explain

While Going through the balancesheet of one of my client Companies I saw sale and purchase of goods from its group company.
PLease note that
Both the Cos are private
Both have the same directors
and the purchase and sale is not based on any contract...please reply whether 297 is applicable

what paragraph should be inserted in case of pvt. ltd. co. where no CARO applicable in new Audit Report...
whether it just like old format.. or there are change in the said paragarph as per new audit report..

A company having 2 members one is an individual who lives abroad and one body corporate..As per the law quorum required to convene AGM is 2..However how to convene a valid meeting if only corporate member can be present and the individual is not able to attend the meeting?

Is quarterly Dvat return in form.16 is filled with its annexures 2A,2B,2C and 2D or the annexures can be filled separately.

If the return and annexures are e-filled is any hard copy or print out is required to be submitted to the department.

I have just been registered as an article in Noida and have correspondence address of my hostel but my permanent address is of my home town Varanasi.

I want to know that whether the books, journals and other letters, etc. from the ICAI are sent to the permanent address or to the address of correspondence by the institute??
