28 September 2013 Dear Sir/Mam,
Please throw some light on my query. Suppose a Company made some transfers in year 2010 but does not recorded these transfers in its registers and no transfer deeds were executed. Moreover, no transfers were shown in the annual return of that year.
But effect of such transfers was given in DR as a Director also transferred his shares and his shareholding was shown in Directors Report. Can we make new transfer deeds of current year giving them effect from this year or is there any other possible remedy?

First of all, you should not mentioned such transfer details in directors report.

I will suggest you to make a transfer deed and execute the same as on date.

You also read the Director Report wordings, on the basis of it you can do it.
