is there any special requirement for filing annual return of co. registered u/s 25 or form 20B, 23AC and 23ACA is enough?

above co is incorporated in march 2012.

so is it necessary to file 23B?

Is there any guideline regarding the managerial remuneration of the directors of a PRIVATE limited company which is NOT a subsidairy of a public limited company.Is there any limit on the maximum remuneration payable to the directors of such company.
