Kindly clarify a case of mine-
M/s ABC is a registered partnership firm carrying on the business of Pan Masala intends to convert itself into a private Company under the provisions Part IX of the Companies Act, 1956 with altogether new business activities such as manufacturing and dealing in food products.

So, whether a firm has to first incorporate change in its business activity (Modification in deed) then go for conversion or we can directly introduce altogether new Memorandum of Association during the the time of registration of Company.

Please give your valuable suggestions in both of the cases so that i can proceed.

thanks sir, please let me know that which types of contracts covered under section 299,297 which are entered in the register maintained by under section 301.

A Private Ltd Company was formed in 2008, since then there is no transaction in it.
The assessee has not even filed any returns.

They want to start the business in that pvt ltd again.

Can anyone guide with the procedures and do we have to file income tax and roc nil returns..??

Hi,

We are a Private Company and keen to convert the same into Public Company. I wanted to know few things before going through the procedure.

1. As a Public Company can we raise Non-convertible debentures and if so is it necessary to form a Trust?

2. We are starting a Public company with a very low paid up capital of Rs. 10lacs so obviously we won't be a listed company, so whats the procedure for unlisted company to sell shares?

3. Also please suggest any other important suggestion which may be useful for us.
