I want to know the provision related to appointment of director, in case of appointment of director the date of consent letter of director or date of board resolution are to be same or not.
For example the date of board resolution is 03rd december, 2012 and the date of consent letter is 06th december, 2012, is it right or not?

How I know that which section & sub section are applicable in the resolution.if I forget the section required for passing resolution can I pass it without mantion the section is it right as per law????

Now company wants to alter its Object clause and AOA..

For issuing duplicate share certificate is prior resolution of investors grievance committee sufficient? Or should board resolution be passed?

I have filled form Form 23 For change in Object Clause of the Company as on 16/11/2012,than after 2 days I filled form 67 as per the Resubmission Status. Now the status shows that"Pending for Approval Under Regulation 17(6)", What should I do?around 1 week has been passed.

Sir, as per companies law auditor is re-appointed in AGM but why we mentioned about auditor reappointment in board meeting minutes.

I want to know that form-32 for appointment of director in which the date of board resolution & date of appointment is 30th June, 2012 and also in signatory details the appointment of director is showing 30th June,2012, so my question is that for preparing board minutes we will show one board meeting dated 30th the June,2012, in the list of present directors this director is included as present director or not...and also tell the same provision in case of resignation of director.

Hi friends I am new here so please bear with me, here is situation, I am going to invest in a pvt. ltd. company of my friend which was formed in 2010 but not doing any major business activity till date. It has 2 founding shareholders as directors. They are also going to do a fresh investment into it. We deciced to investment equal amount of money and My wife will be appointed as one of the 2 director of the company. (one present director will resign), Now my questions is: What is the more secure and better way for me to invest in it, as our accountant had suggested 2 options, one is buying the shares equal to the amount invested after calculating the per share value and second is that I can invest in it by giving a loan to director (my wife) at agreed rate of intrest and period thus without having any share in the company. I want to know which is the better and secure option for me, giving loan or buying equity, what the legalities involved. Do I need to look into MOA & AOA of the company for this. One thing more, me and my firend both are going to work together for the growth of company and also will exanpd in coming years.
