I have been the statutory auditor of Private limited company since 2008 can continue as statutory audtitor or rotation applicable

I filed Form 1A for approval of name of the proposed company on 12.12.2012. The uploaded 1A was approved through STP Mode and the name was approved and name approval letter was received.The proposed name was Viz.ABC GROUP PRIVATE LIMITED.

The Incorporation Documents including Form 1,Form 32, Form 18 were filed on 23/12/2012 and all fees had been paid. Now, the ROC office has Tranferred the e form to PUCL (Pending Under User Clarification) category and says that the proposed name was approved through STP Mode. But, the word "GROUP" not allowable. Therefore, the company may be advised to change the name. Form 67 may be filed till 23/01/2012 failing which the system shall treat the e form as invalid and it shall not be taken on record.

The Incorporation fees of Rs. 27,200 has already been paid.Authorized Share Capital of Proposed company Rs. 10,00,000.00 Therefore, please advise what should be done at this point of time for resolving this issue.

sir, as per new E form DIN-4, we should to file form DIN-4 for verification as per Annexure-1 of DIN rules. My query is that is DIN-4 should be file for Annexure-1 dated before 24/12/2012..because as per me DIN-4 was filed for PAN no. before some time for all directors when DIN-1 was changed.

My Client has held AGM of FY-2010-2011 on 29.07.2011 and hold current financial year (FY-2011-2012) on 13.10.2012, due to availability of audited accounts on 29.09.2012 and held AGM after 14 days Notice.Whether, it is compulsory to file for extension of date to hold AGM or it will cover 15 months between two AGM (29.07.2011 to 13.10.2012).Pl.guide me to file Annual Return at earliest.

A company have issued a share certificate and there is mistake in Distinctive numbers of shares that instead of printing Distinctive no from 14367 to 24391 it printed that Distinctive no from 14967 to 24391.
