if software purchased along with computer, what is rate of depreciation to be apply for computer and software are same rate can be apply or we have to separate it in the books?

A Private Limited Company is carrying on business for more than 8 months and on 31st march 2013, balance sheet is going to being prepared. There is query regarding that the authorised capital of company is one crore, and in MOA the 4 promoters subscribed that they will be bring up 25 lakhs each, but 2 of them did not bring the capital what are the consequences on the company and on director?

My company is having an turnover of Rs. 100 crores, but have not appointed any CS, my company has received a show cause notice for the reason for not appointing CS till now.
And paid up capital is around 6 crores.

Please guide me what reasons can i give which can justify this.

Can a resolution for appointing new auditors to fill in casual vacancy caused due to resignation of earlier auditors be accepted by circular resolution and than by convening an EOGM, by the shareholders??
