the intention of 270 is that a knowledgeable person who doesn't have money can become director in the ltd co.co can not bound the person to take high value shares to become director.

but in sec 274(1)(e) disq.if the same person could not pay call money till 6 months after the due date he is disqualified.

i think law has a different intention in the later section.

why?

Whether Co is required to maintain two separate sets of minute book for GENERAL MEETING AND BOARD MEETING?

Whether Pvt Ltd Cos are eligible to issue Debenture?

If there is a short notice of AGM and Form 22 has not been obtained from the shareholders which is a pre requisite, can the offence be compounded under the Indian Companies Act?

A private limited company propose to issue shares to Mr. A (not an existing shareholder).

Can it be called as private placement or is it as preferential allotment/issue?

If so, do we require the convening of a general meeting for issue of shares under the above heads?
