A Pvt Ltd Company exists with Rs.1 lac Capital(1000 Equity shares of Rs.100 each). There are 2 Directors(both brothers) and both of them are the only shareholders of the company with 500 Equity shares each.


They've come up with an idea for a huge project. The idea is so good that a couple of investors are willing to put money in the Company provided they get a stake in the profits(i.e. they do not want to show it as a loan). The fact is that the 2 original promoters/directors/shareholders will contribute their 'idea' whereas 2 new investors will contribute 'money'. The profits/losses shold be shared 1:1:1:1(or something like 25.5:25.5:24.5:24.5) among the 4 people since the original directors wish to claim 51% profits and stake.


Now, what are the different alternatives under the Companies Act to show the same?

WHAT DOES IT MEAN BY COMPANY NOT IN OPERATION FOR FTE 2011 ??

IS SALE OF FIXED ASSETS WITHIN ONE YEAR MEANS THAT COMPANY IS IN OPERATION ?

IS CASH & BANK BALANCE IS CONSIDERED AS ASSETS FOR THE PURPOSE OF FTE 2011 ?

IS THE COMPANY WHOSE NAME IS STRIKE OFF UNDER FTE 2011 REQUIRE D TO FILE INCOME TAX RETURN ??

Suppose a Private limited company which is a Trading company has taken certain Amount say Rs 2500000 as advance to supply goods.But it does not supply the goods and ultimately the deal gets cancelled.In the meanwhile company uses that money to trade in goods with other customers.Is there any violation of any law?
If there can be any violation, then by which time it should return the money after cancellation to avoid any violation of law?

Can we conduct AGM without adopting accounts and not appointing auditors for any financial year under the provisions of Companies Act, 1956?

There are four Directors in a company to whom the company has been paying directors remuneration of say 2.5 lakhs each till last year.
Now from this year onwards i want to reduce/ not pay the directors remuneration to two directors.
what are the possible options/steps.

one of the shareholder of my company is X ltd which has lost share certificate.. they want to know the procedure for issuance of duplicate share ceritificate.. I have done for individual who lost it but for company i am confused.. pls help...

Dear Sir

we have re-appointed whole time director in our company w.e.f 14.05.13, whose term expires on 13.05.13,

now we r filling form 32 for his re appointmenr, but mca system raised query that the director is already active in company.

so is this re appointmnet is considered as change in designation ?

i have submitted the form 1A 6 days ago but my status shown assigned can any one help me why it happen & also provide me help desk number.

will privileges and exemptions of private company cease if it is a subsidiary of public company and all the provisions of public company will conferred on private company which is a subsidary of public
