one of the shareholder of my company is X ltd which has lost share certificate.. they want to know the procedure for issuance of duplicate share ceritificate.. I have done for individual who lost it but for company i am confused.. pls help...

we have re-appointed whole time director in our company w.e.f 14.05.13, whose term expires on 13.05.13,

now we r filling form 32 for his re appointmenr, but mca system raised query that the director is already active in company.

so is this re appointmnet is considered as change in designation ?

i have submitted the form 1A 6 days ago but my status shown assigned can any one help me why it happen & also provide me help desk number.

will privileges and exemptions of private company cease if it is a subsidiary of public company and all the provisions of public company will conferred on private company which is a subsidary of public

authorised capital 170000 x 100 =17000000
paid up capital is 86000 x 100 = 8600000

but during form 2 by mistake 686061 shares of rs 10 each was further alloted

so total paid up capital now is 15460610 as i considered 860000+686061 =1546061

now what should i do???

A company increase its paid up share capital in year 02/02/2011 but didn't appoint cs yet. do you know prosecution or any other solution for that.

1)Can loss making pvt ltd co. issue shares at premium.
2) the directors of company decided to issue shares at face value of Rs.10/- and at premium Rs.90/-.

There is a pvt Ltd company with 2 directors who are the subscibers of MOA , As we all know subscibers to MOA are deemed shareholders, but in my case those 2 directors want share certificates to be issued in their names, Kindly suggest whether franking of same required for pvt ltd co in punjab,if yes procedure for same, further is there any form to be uploaded with mca to intimate them or any other legal formality to give certificates to director shareholders,
