I want to know procedure for the Appointment of Auditor where the old auditor is not responding and company also not appointed any auditor past two year and not filed Annual returns, now the company want to appoint other auditor whether it is appointed through AGM (by back dated) or call EGM as on the Date

and what is the consequences for the Managing Director for the above irregularity.

Dear Experts,

While filing 23AC/ACA before the filing of FTE form do we need to mention in the auditors report aboout the stiking off the Company??

Also do we need to pass a resoltuion in the AGM itself or have a BM for striking off the company. Please guide me.

A Share Certificate bearing No. 1 for 10 shares of Rs. 10 each and having denomination no.1 to 100.It is now split into 2 certificates of total value Rs. 50 each.Whether denomination Nos. now will be from 1 to 50 and then 51 to 100 or from 101 to 150 and then 151 to 200.

My company is private Ltd company incorporated under companies Act 1956

Share holding patten

50% of Foreign listed Company

30% of Foreign Public Company

20% are indian

Now my Query is

Is my Company treated as Private Company or Public Company

Company earlier has 2 whole time directors and 3 additional directors.the 2 wtd has resigned and the company was carried by additional directors from past 3 years.All the forms,bal sheet and other documents has been signed by them.

How much the company needs to deposit in its a/c.

viz. Paid up capital is Rs.1 lac , whether entire 1 lac is to be credited in its a/c or less than that.
