My doubt is - can a company pass a board resolution to give effect conversion of convertible pref shares into equity with RETROSPECTIVE EFFECT ? Say due for conversion was 10/05/2013, but board thinks on 10/09/2013 to give effect the same from 10/07/2013.

I am a partner in an Indian LLP. By mistake, a lower capital contribution (25%) was recorded for me in the original agreement and documents filed with MCA. However, the profit share ratio is correct (30%). I paid only 25% of the capital contributions. If I want to maintain a clear 30% interest in the business, do i need to correct the capital contribution? If i dont, what is the drawback?
More fundamentaly, what does the capital contribution determine?
