One of my clint is private limited compnay. its wants to take unsecured loan from other private company. can it take the loan. what happen when some directors of other company are same in our company.

I am having Pvt Ltd Co. with 1 lac Share Capital Turnover 3.5 Crore & having two directors,both director's are taking remuneration
Q-1.I am taking loan from Non Banking Org.as morgage on my house,They say Appointment of MD/WTD is compulsory,Only MD/WTD can apply for Loan
Is filing of Form 23, 25 or 25c with ROC is complusory or not?
One Director also have propritership firm
However if I appoint the same in EGM what is negative/positive?
Please guide under Company's Act & Income tax

Whether it's mandatory to file Form 25C in case of appointment of MD in a Pvt. Co. having paid up capital of Rs2.00 crs.
To eloborate the case -:

Com. A - a joint venture of B & C co., where B holds 51% share & C holds 49% shares. Thus a Subsidiary of Co. B
where,
Com B- is a State govt. co.(formed as Pvt. ltd)

Com C- is Pub. co

Now, as per the terms of JV, co. C will nominate one of Director as MD of JV.

Accordingly, Co. C nominated one of its Director as MD.So, pl. suggest regarding filing of Form 25 C OR it's not required.

In a private company additional director was appointed in 2008. The Company did not file the form for change in designation from AD to director.

Now, the Additional director wants to resign from the company.

In this case first we have to file form 32 for change in designation from AD to Director or we can directly file form 32 for resignation.

Please reply as early as possible.
