Ex- suppose there is a small company xyz PVT LTD, having its 1 st board meeting on 4 th August, 2014. An EGM has been called on 1 st sept 2014 for increasing the borrowing limit u/s-180(2), and on the same day a board meeting has been called for approval of financial statements & board report. The question came in my mind as MGT-14 is required to be filed for disclosure of a resolution & not for the purpose of disclosure of the Meeting. Can we file a single MGT-14 for both the Board meeting & EGM, & if yes, what will be the date of dispatch of notice?

I filed Form Inc 1 and got a name on 23-06-2014
So the last date becomes 23-08-2014 (60 days)
I filed incorporation forms on 20-08-2014, which got rejected totally. (2 chances over).
Now, I am filing the incorporation forms again.
My query is whether I have to apply for a name again or I can continue with the name I got on 23-06-2014???
When I checked the name on MCA Portal search name facility today, the status was "Approved".

Mr. X Ltd disclosing his interest in company X Ltd.

Do Mr. A need to disclose his shareholding in company X Ltd and directorship and shareholding in Company Y ltd and Z Ltd.?

Do mr. A need to disclose his inerest and directorship only in Company Y ltd and Z Ltd.??

Whether the Board Resolution for approval of Board's Report shall be made in pursuance of Section 217 under Companies Act, 1956 or Section 134 of the Companies Act, 2013 for the Financial Year ended on 31, March 2014?

Can we approve financial statements and board reports in one meeting and authorize directors to sigh the same on the above said day at which meeting is held.

Is it mandatory to attach photo of all the directors in the subscribers sheet of MOA and AOA for the purpose of uploading form INC 7 ??

Dear Colleagues,

If any private limited company has taken deposits after 01.04.2014 and repaid till date, them DPT-3 (Return of deposits) is mandatory to file in ROC?

Can a private limited company take deposits from members?

My company is a private company, therefore we are not mandatorily required to appoint KMPs under section 203 of CA, 2013. We already have KMPS including CFO and CS in our company.

Do we have to file form MR-1 or take any alternative action so as to regularise the appointment of our existing KMPs?

I am incorporating a pvt ltd company as per new companies act rules.
I got the following error message from MCA Website after submitting Form Inc 7, Inc 22 & Dir 12, " Rule 16(1)(a) & Rule 13(1) not complied with. Hence REJECTED. "

They have not specified anything about which rules, they are referring to.
I have searched every where on the net, including Companies Incorporation Rules 2014, Appointment of Director's Rules 2014, etc but unable to find Rule 16(1)(a) & Rule 13.

Pls help.
