Change of ro from delhi to gurgaon

dear experts,
the co wants to change its regd off from delhi to gurgaon, since it is a change from one state to another, but roc is same for both the state. do we still need to file petition before the rd or can we pass a special resolution for amendmend of moa and change the ro. kindly advice. thanks.
