Is it compulsory for companies to file annual return regarding share capital every year even if there was no change against existing. If yes what is the form to be filed.

Can some advise in the following case
A Private Ltd company
Authorised capital 10 Lakhs
Paid up capital 8 Lakhs
Can the company receive share capital for More than Rs 2 lakhs ( difference between paid up and authorised capital )
Further can the share application money can be inculded while calculating networth of the company .

Sir,
If a company has the loss in one financial year but it has retained earnings(profits relating to previous financial years) more than the loss then,
1) Is it compulsory to declare dividend on cumulative preference share capital?
2) Is it compulsory to declare dividend on non-cumulative preference shares?

If a company has the profits in one financial year and not declaring any dividend to equity share capital, then:
1) Is it compulsory to declare dividend on Cumulative preference share capital.?
2) Is it compulsory to declare dividend on non-cumulative preference share capital?
Please resolve my query.

Sir,
Can a director disqualified u/s 274 (1) (g) be appointment as a small shareholder's director??
It is said u/s 252 (relating to appointment of small sh.'s director) that -"disqualifications of a small sh. director are the same as that of any other director - EXCEPT THAT sec. 274(1)(g) shall not apply to him.
Inversely there is no explanation u/s 274(1)(g) to above.
So tell me whether a director disqualified u/s 274 (1) (g) be appointment as a small shareholder's director??

Dear Freinds
If a sick company (Listed, trading suspended) has not complied with the requirements of filling annual accounts and returns for continues 5 yrs. Whether it existing directors are disqualified under section 274(1)(g) or they will get some relief as the company is a sick company and reffered to BIFR.
