One Company (Subsidiary Company) has approved its accounts in its board meeting as on 30th April, 2010 and Auditor has signed his Audit Report as on 7th May 2010. In such a case for consolidation of Accounts of Holding Company, the such subsidiary accounts can be considered as Audited accounts or unaudited accounts as on 1st May, 2010 for Consolidated Audit Report.

Whether a company can keep statutory register in electronic form ( MS-Excel) ?
Are there any formalities to be complied with or filed with ROC ?
Pl explain with reference to relevant section of Companies Act.

If a company registered address has been changed (only district) by operation of law by official gazzete before 8 years then At present how can company change its registered address ( only change of district required).

What procedure should follow ?

My DOI of company is 31-12-2007
for March 2009 i have prepared the balance sheet and submitted it in the it department but not in the roc department as no need was there

But my first agm was on 31-05-2009 and subsequently i deposited the return for the period 31-12-2007 to 31-03-2009 to both at roc and income tax

my query is that do we have to incorporate in minutes the annual reports that we have prepared only for submitting to income tax for march 2008
