One of my client (a private limited compnay) has created a gratuity fund - taken approval from the Income tax department, created a trust and paying premium to LIC. The Company opened a bank account in the name of Trust (The resolution for the same was given to bank). Trustees are director of the company.
Now, my question is what type of secretarial records are to be maintained for meetings or any other business of the trust?
what about books and returns as per IT Act?

can a auditor sign a balance sheet of a pvt ltd co. in which his brother's son and daughter in law is a director.

What is the last date of submitting in the case of a private limited company with a loss ? It does not have any turnover as it is in developing stage.

A Company had passed a cricular resoltuion on 28th April 2009 and till date it has not been included in the Board Minutes....We need to prepare the Board Minutes for 18th May 2010.

So my question is whether we can include it in the Board Minutes of 18th may 2010.??

Is there any time limit within which the circular resolution should be included in the Minutes.??



Please suggest as it is urgent.
