RESOLUTIONS IN AGM

A RESOLUTION WAS PASSED BY THE COMPANY IN THE PREVIOUS AGM UNDER SECTION 293 (1)(a)and section 372 (a)of the companies act. Whether the same is required to be passed in the current AGM also.

Is it possible to a non member or non share holder to become a Director in a company???? If Yes what are limitations in his rights as compare to Share hoder director?????

Hi frnds ..........Plz... give me ur advice.......
We have a co. whose paid up cap is 50200.we have increased its paid up capital to Rs 100000 in july2010.but in Form 23AC Balance sheet is as on 31/03/2010....so it is not accepted by the MCA portal.we want to file dis form so what should we do?

change in authorized capital

Suppose authorized capital of co is incresed by spcl resolution in last AGM i.e. Sep 20009 but Form 5 is filed and approved in AUGUST 2010. So from which date the capital of co is changed.
And wat will be authorized capital as on 31 march 2010.
