i want to incorporate a company to do business as share broking house/share trading etc.

please tell me minimum paid up capital of such a company. please quote the resource.

I have filled Form -5 to increase authorised capital of the company , there is some mistake in form like resolution should be special , but oridinary is passed , it should be passed by member but passed in board . ROC is approved the form -5 . but there is some problem in other department , i want to rectify above the matter . how can i rectify the matter ,

A Newly formed Public Limited Co. appointed a CA as its First Auditor & also intimated to the Auditor about his Appointment. Now Is the said Auditor to intimate to ROC by filing Form 23B

We are a PRIVATE LIMITED COMPANY. We want to remove our statutory auditor [who has been appointed in our 2nd AGM] before the 3rd AGM.

Whether CG approval is required for that?

A Private Ltd company did not lay it's Annual Accounts in it's AGM for the year ending 31.3.10 as the accounts were not audited.The company wanted to change the auditor but the auditor gave a no objection certificate in March 2011 only(as there was some dispute between the two). Till date the audit has not been done for the year ending 31.3.10 & hence the accounts have not been laid in the AGM. No permission was sought from the ROC for adjourning the AGM(as the accounts have not been laid) for the year ending 31.3.10.Please give a solution which will help the company to comply with statutory requirements regarding holding of the AGM & laying the Accounts in the AGM.

A, a director in a Public Limited Company has lost his Digital Signature Certificate and his DSC is registered in the MCA system. As normal practice, he filed a General Diary (GD) in the nearest police station. Now, since A is a Director, he has to file different ROC e-Forms for ROC Compliances with Ministry of Corporate Affairs, GOI. Also note that his DSC would be expiring on February, 2012.
My question is whether A can get another DSC prepared? If he can what is the procedure to be followed?

Is private Ltd. company pass any resolution in any meeting for increase in Director Remuneration.

In case of Private Limited Company whose Plant manufacturing facility is under Installation stage & to whom CARO,2003 is applicable. Can any one give me the Draft Format of Caro Report to be incoporated in Statutory Audit Report as per Companaies Act.
