FEES OF 27200 HAS BEEN PAID FOR THE SAME.

NOW THE TRANSACTION IS SHOWING AS CANCELLED FOR NON PAYMENT OF STAMP DUTY

CAN I FILL FORM 67 AND RECTIFY THE MISTAKE SO THAT I CAN OBTAIN CERTIFICATE OF INCORPORATION????

A limited company with 5 directors (lending co.) wants to give loan to a limited company having 4 directors (borrowing co.), out of which 3 directors are common in both the companies. According to sec. 295(1)(e), no company without obtaining the previous approval of the central govt. make any loan to any body corporate, the board of directors whereof is accustomed to act in accordance with the directions or instructions of the board, or of any director or directors, of the lending company.
Query: Whether in the present case, the board of directors of borrowing co. can be construed as accustomed to act in accordance with directions/ instructions of the directors of the lending co.?

I want to file form 61 of a Pvt Co. which is dormant co. i need help on following,
1. is it required to file form 23 first?

2. is copy of resolution also required to be attached?

3. any specific format of application for normalising a dormant company.

One of my client want to form a company with a Name which is similar to a company name which is Dormant as per MCA records as its last AGM was held on 01/05/1970 and nothing happen after that.

Pls guide can we have to mention that company name also in form 1 for name approval

Section 293A of Co. Act,1956 states that a Co. not in existence for 3 financial years can not make political contribution.

Now suppose the co. Incorporated on 01.01.2007 with first F.Y. ending on 31.03.2007. Now can it make a political contribution on 01.04.2009(since 3 F.Y.'s are 31.03.2007,31.03.2008,31.03.2009) ? Bcoz words are used are Financial years & not the year.
Or It can not make political contribution before 01.01.2010 ?
Plz clarify, bcoz in books, author is of the view that contribution can not be made on 01.04.2009.

MD resigned on 31.10.10

Company proposes to file Form 25A for waiver of excess remuneration paid to MD due to loss.

Company is adopting the financial year as JAN-DEC.

Query

for calculating the effective capital, which year should be considered i.e. 31.12.08 / 31.12.09 / 31.12.10 ?
