If an auditor is required to be appointed during the year due to resignation of Statutory auditor, we can appoint such Auditor in EGM by ordinary resolution as a special business. Do we need to file form 23 for such resolution?

Can a private company issue shares in dematerialized form. If yes please tell me the procedure.

Our Company wants to Re-appoint Managing Director, whose tenure of services comes to end on 31.03.2012. In this matter Chairman and one director of company are interested. Now our question is in this particular situation whether we have to send abstract and memorandum of concern or interest under section 302 of the Companies Act, 1956 to members or not. While studying this matter we examine the cases of some companies in which we found some companies send the said abstract and some complied this with notice of AGM. The said appointment is falls within the purview of Schedule XIII of the companies Act.

A Pvt Ltd Company has only 1 lac share capital and its turnover is always under 5 lacs. It has not accepted any public deposits and from banks and FI is less than the limit of 10 lacs. Hence, am I correct that CARO is not applicable to this company?

Please give me the format of Auditors Report(along with annexures, if any) and Directors Report. Is it any different for a company to whom CARO applies?

I applied for the registration of a Pvt Ltd Co on 05/03/2012 and duly filed Form 1 alongwith form 18 & 32.

I got a querry from MCA, ROC office that i have to resubitt FOrm NO- 1, beacuse "total of shares in moa is missing and subscribers details to be filled by the subs. own handwiting."

After making corrections i resubmitted the Form 1 on 13/03/2012.

Now again i got a querry "Rubber stamp of the Professional sings. of witnessee and also objects given in moa. Inform them"

Can anybody tell me what's the meaning of this and what they want exactly,

Articles of Pvt Ltd Company does not provide for Appointment of Additional Director viz Articles is Silent on Additional Directors.

The Company has appointed Additional Directors.

Whether the appointment is valid or not.

A company is a GTA and runs the trucks on contract basis. I want to know at what rate will be depreciated?
